Welcome to Virtual Office Expert / HomeRun Score Desk (“Company,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of our website, CRM system (such as Grand Slam Connect), virtual assistant (“VA”) services, and any related tools, communication channels, or materials (collectively, the “Service”).

By accessing or using our Service, you agree to these Terms.
If you do not agree, please do not use the Service.


1. Service Overview

Virtual Office Expert provides virtual assistant and business support services to individuals and companies. Our services may include administrative support, social media management, customer service, appointment setting, CRM management, and related business tasks.

The exact scope of services will be defined in your service agreement, onboarding form, or signed proposal.


2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use our services. By using the Service, you represent and warrant that all information you provide is accurate and complete.


3. Accounts and Access

To access certain parts of the Service (including CRM platforms like Grand Slam Connect), you may be required to create an account.

You agree to:

Maintain the confidentiality of your login credentials.

Notify us immediately of any unauthorized access or security breach.

Be responsible for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unlawful purposes.


4. Service Engagement and Communication

Upon engaging with our Service:

You agree to cooperate with your assigned virtual assistant(s) and provide necessary information, tools, and access to complete assigned tasks.

Communication may occur via email, SMS, CRM, or project management platforms.

You authorize our team to use your preferred contact methods for service-related updates and notices.

All communication is monitored for quality assurance, training, and compliance purposes.


5. Payments and Billing

Service fees are outlined in your proposal, invoice, or subscription plan.

Payments are due based on the billing cycle agreed upon (weekly, bi-weekly, or monthly).

We accept payments via credit card, ACH, or approved third-party processors.

Late or missed payments may result in service suspension or termination.

Fees are non-refundable, except where required by law or otherwise stated in a written agreement.

If you dispute a charge, you must contact us within 10 business days of the billing date for resolution.


6. Service Modifications and Cancellations

You may cancel your service by providing a written notice of at least 14 days prior to the next billing cycle.

The Company reserves the right to modify, suspend, or discontinue any Service (or part thereof) with reasonable notice.

If we discontinue a service you’ve prepaid for, you will receive a prorated refund for unused time.


7. Virtual Assistant Replacement Policy

If you are unsatisfied with your assigned virtual assistant, please notify us. We will:

Review performance concerns; and

Provide a replacement VA when appropriate, at no additional cost, within a reasonable timeframe.

However, results depend on client cooperation, clarity of instructions, and task scope. The Company does not guarantee specific business outcomes or performance metrics.


8. Confidentiality and Data Security

Both parties agree to maintain strict confidentiality over all proprietary, personal, or business information shared during the course of the engagement.

The Company will:

Require all VAs and staff to sign Non-Disclosure Agreements (NDAs);

Use secure communication and file-sharing systems; and

Comply with data protection laws applicable in the U.S. and the Philippines.

You agree not to share internal systems or sensitive data beyond what’s required for the tasks.


9. Intellectual Property

You retain ownership of all materials, content, and data you provide to us.

Deliverables produced by your assigned VA(s) in the course of service (e.g., documents, graphics, reports) become your property upon full payment.

The Company retains ownership of proprietary systems, processes, and templates used to deliver the Service.


10. Acceptable Use Policy

You agree not to:

Use the Service for illegal, harmful, or fraudulent purposes.

Harass, abuse, or exploit any staff member or VA.

Share login credentials or access to unauthorized users.

Attempt to circumvent billing systems or recruit VAs directly without Company consent.

Violation of these terms may lead to immediate termination of your account and forfeiture of any payments made.


11. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

Our total liability, for any claim related to the Service, shall not exceed the total fees you paid in the three (3) months prior to the claim.


12. Warranties Disclaimer

Our Service is provided “as is” and “as available.”
We make no warranties, express or implied, regarding:

The accuracy, reliability, or completeness of information;

The performance or availability of any virtual assistant; or

Any business outcomes or results derived from using the Service.


13. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, staff, and virtual assistants from any claims, losses, liabilities, or expenses (including legal fees) arising from:

Your use or misuse of the Service;

Violation of these Terms; or

Violation of any applicable law or third-party rights.


14. Termination

We may suspend or terminate your access immediately if:

You violate these Terms;

You engage in abusive or fraudulent behavior; or

Payment obligations remain unpaid after notice.

Upon termination, you will lose access to all systems, and any unpaid balances become immediately due.


15. Governing Law

These Terms are governed by the laws of the State of Missouri, USA, and, where applicable, the Republic of the Philippines.
Any dispute shall be resolved through good-faith negotiation, and if unresolved, through arbitration or mediation before resorting to court action.


16. Updates to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date.
By continuing to use the Service, you accept the updated Terms.
